These Terms of Service ("Terms") govern your use of the website and tax preparation services provided by CPA Tax Services ("we," "us," "our," or "the Firm"). By creating an account, uploading documents, or using any of our services, you agree to be bound by these Terms.

1. Services Provided

We provide professional tax preparation, filing, and advisory services for individual U.S. federal and state income tax returns, including but not limited to Form 1040, related schedules, FBAR (FinCEN 114), FATCA (Form 8938), and other IRS forms as determined by your assigned CPA. Services are provided by or under the supervision of a licensed Certified Public Accountant.

2. Client Responsibilities

You agree to:

  • Provide accurate, complete, and truthful information for your tax return
  • Upload all relevant tax documents in a timely manner
  • Respond to CPA inquiries and questionnaires promptly
  • Review your completed tax return before it is filed with the IRS
  • Notify us immediately of any errors or omissions you discover
  • Maintain the confidentiality of your account credentials

You are ultimately responsible for the accuracy and completeness of the information provided to us. We rely on the information you provide and are not responsible for errors resulting from incomplete, inaccurate, or fraudulent information supplied by you.

3. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • Our total liability for any claim arising from our services shall not exceed the fees you paid for the specific tax return or service giving rise to the claim
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities
  • We shall not be liable for IRS penalties, interest, or additional taxes resulting from information you failed to provide, provided inaccurately, or provided late
  • We shall not be liable for delays caused by IRS processing, third-party services (including Stripe, Google Cloud, or Firebase), or circumstances beyond our reasonable control
  • We shall not be liable for any tax positions taken based on your instructions that we advised against
  • We are not responsible for changes in tax law enacted after your return is filed

4. AI-Assisted Services Disclaimer

Our services utilize artificial intelligence technology to assist with document analysis and tax form preparation. You acknowledge and agree that:

  • AI-generated analysis and form data are preliminary drafts used as tools to assist your CPA
  • All AI-generated results are reviewed, verified, and approved by a licensed CPA before any filing with the IRS
  • AI technology may produce errors or inaccuracies that are corrected during CPA review
  • We do not guarantee the accuracy of AI-generated analysis prior to CPA review
  • The use of AI does not diminish the professional responsibility of your assigned CPA
  • Sensitive PII (SSN, EIN, bank accounts) is never sent to AI services — it is handled exclusively by our encrypted systems

5. Fees and Payment

  • Account creation and document upload are free of charge
  • After reviewing your case, your CPA will provide a quote with the total fee and estimated timeline
  • You are not obligated to proceed until you accept the quote
  • Payment is due upon acceptance of the quote, before filing commences
  • Payments are processed securely through Stripe. We do not store your credit card information
  • Fees are non-refundable once your return has been filed with the IRS, except in cases of our material error
  • If additional work is required beyond the original scope (e.g., amended returns, additional schedules discovered during preparation), we will notify you and provide a revised quote before proceeding

6. Engagement Scope

Our engagement is limited to the preparation and filing of the specific tax returns identified in your case. Unless separately agreed in writing, our services do not include:

  • Tax planning or advisory services beyond the current filing
  • Representation before the IRS in audits, appeals, or collections (available as a separate engagement)
  • Legal advice or representation in legal proceedings
  • Bookkeeping, payroll, or business accounting services
  • Financial planning or investment advice

7. Professional Standards

We adhere to the professional standards set forth by:

  • American Institute of Certified Public Accountants (AICPA) Code of Professional Conduct
  • IRS Circular 230 (Regulations Governing Practice Before the IRS)
  • Applicable state CPA board rules and regulations
  • Statements on Standards for Tax Services (SSTS)

8. Indemnification

You agree to indemnify, defend, and hold harmless CPA Tax Services, its owners, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your breach of these Terms
  • Inaccurate, incomplete, or fraudulent information you provided
  • Your failure to timely provide requested information or documents
  • Tax positions you instructed us to take against our professional advice
  • Your unauthorized use of our platform or services

9. Dispute Resolution

Any dispute arising from these Terms or our services shall be resolved as follows:

  • Informal Resolution: The parties shall first attempt to resolve any dispute through good-faith negotiation for a period of thirty (30) days
  • Mediation: If informal resolution fails, the dispute shall be submitted to mediation before a mutually agreed mediator
  • Arbitration: If mediation fails, the dispute shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association
  • Governing Law: These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles
  • Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in a class action lawsuit or class-wide arbitration

10. Intellectual Property

All content on our website, including text, graphics, logos, and software, is the property of CPA Tax Services and is protected by copyright and intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

11. Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms, provide fraudulent information, engage in abusive behavior toward our staff, or fail to pay for services rendered. You may close your account at any time by contacting us, subject to any outstanding obligations.

12. Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, IRS system outages, internet disruptions, or third-party service failures.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CPA Tax Services regarding the use of our services and supersede all prior agreements and understandings.

15. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or a prominent notice on our website. Continued use of our services after changes constitutes acceptance of the modified Terms.
